1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of Lupo ("Lupo" or the "Service"), provided by Flair Technologies Ltd ("Flair Technologies", "we", "us", or "our").

By accessing or using Lupo, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Lupo is an AI inbound sales intake and booking service for service businesses.

The Service may help participating businesses:

• answer inbound phone calls;
• respond to website enquiry forms;
• trigger requested callbacks from website chat handoffs;
• qualify customer enquiries;
• provide basic service and pricing information;
• check availability;
• create, update, or cancel bookings;
• send transactional booking-related communications;
• store lead, interaction, transcript, summary, and booking information.

Lupo is not a replacement for professional judgment. Participating businesses are responsible for their own services, pricing, availability, customer relationships, legal obligations, and operational decisions.

3. Eligibility and Accounts

You must be at least 18 years old and capable of entering into a binding contract to use Lupo.

You are responsible for all activity under your account and for keeping login credentials secure.

If you use Lupo on behalf of a business or organisation, you represent that you have authority to bind that business or organisation to these Terms.

4. Customer Communications

Lupo may facilitate communications between participating businesses and their customers, including calls, emails, SMS messages, web form responses, chat handoffs, and calendar-related communications.

Participating businesses are responsible for ensuring they have appropriate consent and legal basis for communications sent through or in connection with Lupo.

Lupo may record, transcribe, summarise, or analyse calls or messages where configured by the participating business and where legally permitted.

6. Acceptable Use

You agree not to:

• use Lupo in violation of applicable law;
• use Lupo to send unlawful, deceptive, abusive, harassing, discriminatory, or unsolicited communications;
• interfere with or disrupt the Service;
• attempt to gain unauthorised access to systems, accounts, data, or networks;
• reverse-engineer, copy, modify, or resell the Service except as expressly permitted;
• use Lupo to build a competing product or service;
• upload or transmit malware or harmful code;
• misuse AI outputs or present them as guaranteed facts where review is required.

We may suspend or terminate access if these Terms are breached or if continued access creates legal, security, operational, or reputational risk.

7. Subscriptions and Payments

Certain features may require payment through our authorised billing provider.

Unless otherwise stated, subscriptions renew automatically until cancelled.

You can cancel according to the billing terms presented at purchase or by contacting support@lupolabs.ai.

Refunds are handled at our discretion and in accordance with applicable law.

8. Third-Party Services

Lupo may integrate with third-party services, including voice, telephony, SMS, email, calendar, hosting, database, authentication, analytics, logging, CRM, and payment providers.

We are not responsible for third-party services, their availability, or their practices. Use of third-party services may be subject to their own terms and policies.

9. Data Protection and Privacy

Our collection and use of personal data are described in our Privacy Policy.

Participating businesses are responsible for providing any customer notices and obtaining any consents required for their use of Lupo, including notices related to call recording, SMS communications, and customer data processing.

10. AI Outputs

Lupo may use AI systems to interpret requests, summarise calls, suggest responses, classify leads, or assist with booking workflows.

AI outputs may be inaccurate, incomplete, or unsuitable for a particular situation. Users and participating businesses are responsible for reviewing outputs and using the Service appropriately.

11. Intellectual Property

All rights, title, and interest in Lupo, including software, design, text, graphics, workflows, models, prompts, documentation, trademarks, and related materials, belong to Flair Technologies Ltd or its licensors.

You receive no ownership rights by using the Service.

12. Confidentiality

Users may receive access to non-public information about Lupo, including technical, business, pricing, customer, or operational information.

You agree not to disclose confidential information except as authorised or required by law.

13. Service Availability

We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or always-available operation.

The Service may depend on third-party providers and customer-provided integrations.

14. Limitation of Liability

To the maximum extent permitted by law, Flair Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from or related to use of the Service.

Our total aggregate liability for claims relating to the Service shall not exceed the amount paid to us for the Service in the three months preceding the claim.

15. No Warranties

The Service is provided "as is" and "as available".

We make no guarantee that Lupo will be uninterrupted, error-free, secure, accurate, or meet your expectations.

16. Termination

You may stop using Lupo at any time.

We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, create risk for the Service or other users, or if continued service becomes commercially, legally, or operationally impractical.

Upon termination, your right to use the Service ends immediately.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Changes to These Terms

We may update these Terms from time to time.

Material changes may be announced within the Service, by email, or by other reasonable means.

Continued use of the Service after the updated Terms take effect constitutes acceptance.
